Terms of Service

Last updated:

1. Agreement to terms

By accessing or using the Daedalus platform, website, or Chrome extension (collectively, the "Service") operated by The Way How ("we", "us", "our"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you do not agree to these terms, do not use the Service.

2. Description of service

Daedalus is an AI-powered platform that configures HubSpot portals — including pipelines, properties, automations, lead scoring, email templates, sequences, and reporting dashboards. The platform also provides:

  • AI-generated configuration plans with full review and approval before deployment.
  • CRM data migration from supported source systems (e.g. Salesforce, Pipedrive, Zoho CRM, and others) into HubSpot.
  • Daedalus Navigator, which provides AI-powered answers to questions about your live HubSpot data.
  • AI-generated reporting dashboards built from your portal data.
  • A companion Chrome extension that automates HubSpot Private App creation, scope configuration, and provides a side-panel Daedalus Navigator.

The Service requires a valid HubSpot account and a Private App token with the necessary permissions.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete information and keep it up to date. We reserve the right to suspend or terminate accounts that violate these terms. You must not share your account credentials with others — use the organization and portal invite features to grant access to team members.

4. Organizations and teams

Daedalus supports organizations with multiple members. If you create an organization, you are the owner and are responsible for managing membership and access. Organization owners and administrators may invite members, assign roles (owner, admin, or member), and grant or revoke access to specific portals. You represent that you have the authority to invite individuals and share portal access within your organization.

5. Subscriptions and billing

The Service offers subscription plans (including Starter, Growth, Agency, and Client tiers) with varying portal limits, features, and pricing. Subscription terms:

  • Subscriptions are billed on a recurring monthly basis through Stripe. Some plans include a one-time setup fee.
  • You authorize us to charge your payment method on file for all applicable fees.
  • You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will not affect your current billing period.
  • Subscription fees are non-refundable except as required by applicable law.

6. Credits

Certain actions within the Service consume credits. Credits may be included with your subscription plan or purchased separately. Credits are non-refundable, do not expire, and have no cash value. We reserve the right to change credit pricing at any time; changes will not affect credits you have already purchased.

7. HubSpot access and authorization

By connecting a HubSpot portal, you authorize Daedalus to access and modify your HubSpot account using the Private App token you provide. You represent that you have the authority to grant this access. You are solely responsible for:

  • Reviewing all proposed changes before approving a job.
  • Ensuring the connected portal is one you are authorized to modify.
  • Maintaining backups of any critical data in your HubSpot account.
  • Ensuring that your use of Daedalus complies with HubSpot's terms of service and acceptable use policies.

You may revoke Daedalus's access at any time by deleting the Private App token in your HubSpot account settings.

8. CRM data migrations

If you use the migration feature to transfer data from a source CRM system to HubSpot, the following terms apply:

  • You represent that you have the right and authority to export data from the source system and import it into HubSpot.
  • AI-generated field mappings are suggestions. You are responsible for reviewing and approving all mappings before execution.
  • We are not responsible for data loss, duplication, or corruption that may occur during migration. We strongly recommend maintaining backups of your source data.
  • Source system connections are established through secure OAuth or API key authentication. We do not store your source system credentials in our database.

9. AI-generated content

The Service uses artificial intelligence to generate configuration plans, field mappings, email templates, workflow configurations, chat responses, and reporting dashboards. You acknowledge that:

  • AI-generated outputs are suggestions and may not be suitable for your specific business needs without review and customization.
  • You are responsible for reviewing all AI-generated content before it is applied to your HubSpot portal or used in any business capacity.
  • AI models may produce inaccurate, incomplete, or inappropriate results. We do not guarantee the accuracy or fitness of any AI-generated output.
  • AI providers (Anthropic and OpenAI) may update their models, which could affect the quality or style of generated content.

10. Chrome extension

The Daedalus Chrome Extension is provided as a convenience tool for setting up HubSpot Private Apps and accessing Daedalus Navigator. It interacts only with pages on app.hubspot.com and www.getdaedalus.ai and only when you explicitly initiate an action. The extension is provided "as is" and its functionality depends on HubSpot's current UI, which may change without notice. We are not responsible for extension malfunctions caused by changes to HubSpot's interface.

11. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of HubSpot's terms of service.
  • Attempt to gain unauthorized access to other users' accounts, portals, or our infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, redistribute, or sublicense access to the Service without our written consent.
  • Submit false or misleading information to the Service.
  • Use the Service to migrate data that you do not have the legal right to transfer.
  • Intentionally overload the Service or circumvent rate limits, credit requirements, or portal limits.
  • Use Daedalus Navigator or AI features to generate content that is illegal, harmful, or violates third-party rights.

12. Third-party services

The Service integrates with third-party services including HubSpot, Stripe, Anthropic, and OpenAI. Your use of these services through Daedalus is also subject to their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service. Changes to third-party APIs or terms may affect the functionality of the Service.

13. Intellectual property

The Service, including its design, code, AI models, plan templates, and content, is owned by The Way How and protected by applicable intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property. Configuration plans, email templates, and other outputs generated specifically for your portal are yours to use within your HubSpot account. You retain ownership of all data you provide to the Service, including your portal data and CRM records.

14. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • AI-generated configurations, mappings, or reports will be accurate or suitable for your specific business needs.
  • CRM migrations will be complete, accurate, or free from data loss.
  • The Chrome extension will function correctly following changes to HubSpot's interface.

You are responsible for reviewing all changes before they are applied to your HubSpot portal.

15. Limitation of liability

To the maximum extent permitted by law, The Way How shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, business opportunity, or goodwill. This includes damages arising from:

  • AI-generated configurations applied to your HubSpot portal.
  • Data loss or corruption during CRM migration.
  • Service interruptions or downtime.
  • Third-party service failures or API changes.

Our total aggregate liability for any claim arising from or related to these terms or the Service shall not exceed the total amount you have paid us in the 12 months immediately preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless The Way How and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third party's rights, including HubSpot's terms of service; or (d) data you migrate, transfer, or process through the Service.

17. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our sole discretion, with or without notice. You may close your account at any time by contacting us. Upon termination:

  • Your right to use the Service ceases immediately.
  • Any unused credits are forfeited and are not refundable.
  • We will delete your personal data within 30 days, subject to our Privacy Policy.
  • Provisions that by their nature should survive termination will survive, including limitation of liability, indemnification, and dispute resolution.

18. Dispute resolution

Any dispute arising from or related to these terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in English. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action.

19. Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email or an in-app notice at least 14 days before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes constitutes acceptance of the updated terms.

20. Governing law

These terms are governed by the laws of the jurisdiction in which The Way How is incorporated, without regard to conflict of law principles.

21. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire agreement

These terms, together with the Privacy Policy, constitute the entire agreement between you and The Way How regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

23. Force majeure

We shall not be liable for any failure or delay in performing our obligations under these terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, or cyberattacks.
